These Terms of Service (“Terms”) govern your access to and use of the Cuppa mobile application and related services (collectively, the “Service”). The Service is provided by Cuppa Technologies, Inc. (“Cuppa,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Account Registration and Security

Certain features require an account. You agree to:

• provide accurate, current, and complete information;

• maintain and promptly update your information as necessary;

• maintain the confidentiality of your login credentials; and

• accept responsibility for all activities that occur under your account.

You agree to notify us promptly of any unauthorized use of your account.

3. Description of the Service

Cuppa is a coffee discovery and community platform that allows users to discover coffee shops, save and track visits, share posts, photos, and check-ins, and interact with community content.

Cuppa does not sell coffee and does not process payments for goods or services at this time.

4. User Content

4.1 Your Responsibility

You may submit photos, text, comments, check-ins, and other content (“User Content”). You represent and warrant that:

• you own or have all necessary rights to submit the User Content; and

• your User Content does not violate these Terms, applicable law, or the rights of any third party.

You are solely responsible for your User Content and any harm arising from it.

4.2 License to Cuppa

You retain ownership of your User Content. However, by submitting User Content, you grant Cuppa a non-exclusive, worldwide, royalty-free, fully paid, sublicensable, and transferable license to host, store, reproduce, modify (solely for formatting and display), distribute, publicly display, and otherwise use your User Content solely for the purposes of operating, providing, maintaining, promoting, and improving the Service.

5. Community Standards and Zero-Tolerance Policy

Cuppa maintains a strict zero-tolerance policy for objectionable content and abusive behavior.

You may not post, upload, transmit, or share content that:

• is unlawful, defamatory, threatening, harassing, or otherwise harmful;

• contains hate speech, discriminatory content, or targeted abuse;

• promotes violence or self-harm or depicts graphic violence;

• contains sexually explicit, pornographic, exploitative, or non-consensual material;

• encourages illegal activity;

• infringes intellectual property or other rights;

• impersonates any person or entity or misrepresents affiliation; or

• is otherwise objectionable, as determined by Cuppa in its sole discretion.

5.1 Enforcement

We may, in our sole discretion and without notice:

• remove or restrict access to any content;

• suspend, restrict, or terminate accounts;

• limit access to features; and/or

• report suspected unlawful conduct to law enforcement or other appropriate authorities.

Enforcement actions may occur without prior warning and may be based on user reports, automated signals, or internal review.

6. Reporting and Blocking

The Service provides mechanisms to report content and block users.

Users may report content they believe violates these Terms. Users may block other users directly within the app. Blocking prevents the blocked user’s content from appearing in the blocking user’s feed and limits future visibility within the Service.

Reports and blocking actions may create moderation records that may be reviewed by Cuppa. We may take enforcement action based on our review.

7. Location-Based Features

Certain features rely on location data. Location access is optional; however, some features (such as nearby discovery and check-in verification) may not function properly without it. We do not guarantee the accuracy of location-based information.

8. Third-Party Services

The Service may include links to or integrations with third-party services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to the third party’s terms and policies.

9. Termination

You may stop using the Service at any time.

We may suspend or terminate your access immediately if you violate these Terms or if necessary to protect users, safety, or the integrity of the Service. Upon termination, your right to use the Service will cease.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Cuppa disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Cuppa shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

In no event shall Cuppa’s total liability for all claims relating to the Service exceed one hundred U.S. dollars (US $100) or the amount you paid to Cuppa in the six (6) months preceding the event giving rise to the claim, whichever is greater.

Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the maximum extent permitted by law.

12. Changes to These Terms

We may update these Terms from time to time. If we make changes, we will update the “Last Updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
